TERMS AND CONDITIONS

“The Portal gives you Mom’s dessert and yours!”

Participation in the Campaign “The Portal gives you mom's dessert!” (hereinafter, “the Campaign”), implies full knowledge and total acceptance of the following Terms and Conditions:

• Purpose. 

ACTIONS AND SECURITIES SA STOCK EXCHANGE BROKER, identified with the NIT 860.071.562 – 1 (hereinafter, the “Sponsor” or “ACTIONS & SECURITIES”) wishes to grant a bonus of FIVE THOUSAND COLOMBIAN PESOS ($5.000) to redeem on the Crepes and Waffles brand to all new users who i) register in the "Client Portal"; Y ii) Whoever makes their first transaction either (online transfer or account deposit) through the “Client Portal"During the validity of the campaign you will be given an additional bonus of  TEN THOUSAND COLOMBIAN PESOS ($10.000) of the Crepes and Waffles brand, the foregoing in accordance with the provisions of clause 4, the Benefit described in these Terms and Conditions (hereinafter "T&C") under which the Campaign will be developed and carried out.

• Campaign Recipients. 

The Campaign is aimed at customers who receive a text message (SMS) or see the campaign through any digital channel (Facebook, Instagram, etc.) or any traditional media, including offices, by ACTIONS & SECURITIES, and that your identification document is i) Citizenship Card; or ii) Foreigner's Identity Card. New users who successfully register in the "Client Portal" or, if you are already registered, make your first transaction (online transfers or account deposit) during the current campaign period. The benefit consists of a bonus of FIVE THOUSAND COLOMBIAN PESOS ($5000) to redeem on the Crepes and Waffles brand to all new users who register on the "Client Portal"and whoever makes their first transaction either (online transfer or account deposit) by the"Client Portal"During the validity of the campaign you will be given an additional bonus of TEN THOUSAND COLOMBIAN PESOS ($10.000) from the Crepes and Waffles brand, which will be awarded only to those who meet one of these conditions. Each participant may access the Benefit only once (1).

Individuals who do not meet the requirements set forth in clause 4 will not be eligible to participate in the Campaign or access the Benefit and, as such, must refrain from participating.

 

• Campaign Duration. 

The Campaign will be valid from May 09, 2025 until supplies last (1.000 vouchers of 5.000 each and 1.000 of 10.000 each) and will be available every day. 

Participants who receive the SMS (text message), as described in section 4.2.1, will have a period of six (6) months to activate the Benefit. Once the Bonus is activated, the Participant will have three (3) months to redeem the bonus on Crepes and Waffles, according to section 4.2.4. 

The benefit corresponds to a virtual voucher and can be redeemed at any Crepes and Waffles location. Vouchers cannot be exchanged for cash. Vouchers are unique and non-transferable; after redemption, they are automatically deactivated. Digital vouchers are valid for six (6) months.

• Campaign and Benefit Description. 

• All people who receive a text message (SMS) or see the campaign through any digital channel (Facebook, Instagram, etc.) or any traditional media, including offices, by the Campaign will be able to participate in the Campaign. ACTIONS & SECURITIES; and who have a Citizenship Card or Foreigner's Identification Card. To be considered a winning participant, they must successfully complete their registration in the "Client Portal" or if you are already registered, make your first transaction through "Client Portal"(online shipments or account credit), complying with all established requirements.

• Each Winning Participant who is new and has registered in the “Client Portal” will receive a bonus of FIVE THOUSAND COLOMBIAN PESOS ($5000) to redeem in the Crepes and Waffles brand and all customers who make their first transaction either (online delivery or account credit) for the “Client Portal"During the validity of the campaign you will be given an additional bonus of  TEN THOUSAND COLOMBIAN PESOS ($10.000) from the Crepes and Waffles brand.

• The registration in the “Client Portal"and the first transaction will be counted as effective after the message is sent and the current campaign comes into effect.

• For this reason, the Sponsor will contact the Winning Participant via WhatsApp to inform them that they have won. A seven (7) digit alphanumeric code will be sent to the same telephone number, with which they can redeem the Bonus. The Benefit will be delivered within a period of fifteen (15) to thirty (30) business days, counted from the date of registration in the "Client Portal".

• The Sponsor will deliver the Bonus only during the Term of this campaign or while supplies last.

• The Bonds will be delivered to the first thousand (1.000) people who meet the conditions of these Terms and Conditions.

• The Benefit described in section 4.2 will only be available from the start of the Campaign until stocks run out and the delivery of 1.000 vouchers of 5.000 each and the 1.000 of 10.000 each authorized is completed.

• The Benefits of section 4.2 of this campaign are not cumulative with other campaigns carried out by the Sponsor. 

• If a person meets both requirements, they will be able to receive both bonuses from the sponsor in accordance with section 4.2 of these Terms and Conditions.

• Limitation of Liability.

• ACTIONS & SECURITIES It will be the guarantor of the review of compliance with the T&Cs established here, and will therefore be the final authority for the authorization of the Benefit.

• By participating in the contest and/or participating in these Terms and Conditions, the Participant authorizes ACTIONS & SECURITIES to make use of images or videos taken on the occasion of the Campaign, to publish them on their Social Networks, website, YouTube channel or any other channel of the Sponsor and to be used in the company's internal communications (without limitation to these), for an indefinite duration. The Participant declares, understands and accepts that for this authorization he/she will not receive any economic compensation, royalties, or payment for any reason. Likewise, he/she is obliged to sign a document to authorize the use of images or videos in accordance with this section when so requested by the Sponsor, without it being understood that without the signing of the document, authorization has not been granted by the Participant.

• This Campaign shall not be deemed to be a game of chance, luck or promotional game. Participants were informed of this Campaign through the provision of the Sponsor's own services. 

• No family members of the operators, promoters and/or officials of ACTIONS & SECURITIES up to the third degree of consanguinity and affinity, may participate or be a Beneficiary of the Campaign. If this happens, the Benefit must be reimbursed in full by the official. 

• In compliance with what is permitted by Colombian regulations, ACTIONS & SECURITIES may immediately suspend the Campaign, without assuming any liability, if crimes, fraud or any irregularity due to force majeure or fortuitous event are detected. In such event, the general public will be informed of any changes that may occur. 

• ACTIONS & SECURITIES will not be responsible if the Winning Participant is required to pay any taxes arising from the transfer of the Benefit from this Campaign. The Winning Participant will be solely responsible for any such payments, if any. 

 

• Review of Terms and Conditions. 

ACTIONS & SECURITIES, reserves the right, at its sole discretion and as permitted by law, to modify the Terms and Conditions of the Campaign contained herein. 

• Processing of Personal Data. 

In accordance with the provisions of Law 1581 of 2012, Decree 1377 of 2013 and complementary regulations, the Participant irrevocably authorizes that the personal data obtained by virtue of the Campaign be processed in one or more databases managed by ACTIONS & SECURITIES, in accordance with the Data Processing Policy of each of these entities, which will be treated according to the Sponsor's personal data protection policy. ACTIONS & SECURITIES will be responsible for its administration together with the persons in charge that it designates, and will implement the necessary security measures for the conservation and protection of the same. Likewise, the personal data of the clients will be collected for operational, commercial and marketing purposes, risk prevention and statistical purposes, for ACTIONS & SECURITIES and by any of its commercial allies, and in general, to allow compliance with the obligations of ACTIONS & SECURITIES that are required by legal or regulatory provisions.

• Applicable Law.

Participants acknowledge and agree that the applicable law for any dispute arising in connection with the Campaign will be Colombian law and waive their right to initiate any type of claim in another jurisdiction.
